Terms of Service

1. Eligibility

RunOpti is intended solely for individuals who are 18 years of age or older. By creating an account or accessing the Service, you represent and warrant that you are at least 18 years old. We do not knowingly collect personal data from individuals under 18. If we become aware that a user is under 18, we will terminate their account and delete associated personal data without delay.

2. Acceptance of Terms

By accessing or using RunOpti ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service.

3. Description of Service

RunOpti provides tools for automated backtesting and parameter optimization of trading strategies on the TradingView platform. The Service includes a Chrome Extension and a web-based dashboard for configuring, running, and analyzing optimization results. RunOpti is a software tool only — it does not execute trades, manage funds, or provide investment or financial advice.

4. Subscriptions & Billing

RunOpti offers free and paid subscription plans. By subscribing to a paid plan, you agree to pay the applicable fees displayed at checkout. Payments are processed by our payment provider acting as Merchant of Record (MoR), who handles billing, tax, and payment compliance on our behalf.

• Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
• Prices are displayed in USD. Applicable taxes may vary by region and will be shown at checkout.
• You may cancel your subscription at any time; access continues until the end of the current billing period.
• Refunds are subject to our Refund Policy, including applicable statutory withdrawal rights described below.

5. Right of Withdrawal

Under applicable consumer protection law, you may have a right to withdraw from a paid subscription purchase within 14 days of the date of purchase, without giving any reason and without incurring any costs. This right may vary depending on your country of residence.

Waiver upon immediate access: If, at checkout, you request immediate access to the Service by checking the designated consent box, service delivery commences immediately and your right of withdrawal lapses upon commencement of service delivery, as permitted by applicable law.

6. User Responsibilities

• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree not to use the Service for any illegal purpose or in violation of any applicable law or regulation.
• You agree not to attempt to reverse-engineer, decompile, or interfere with the Service or its underlying systems.
• You acknowledge that trading involves substantial risk and past optimization or backtesting results do not guarantee future trading performance.
• You are solely responsible for your trading decisions. RunOpti does not provide financial, investment, or trading advice.

7. Intellectual Property

All intellectual property rights in the Service — including its software, design, text, and graphics — are owned by RunOpti or its licensors. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during your active subscription period. You may not reproduce, distribute, or create derivative works based on any part of the Service without our prior written consent.

You retain ownership of all data, strategies, and configurations you create or upload through the Service.

8. Disclaimer

The Service is provided "as is" and "as available", without warranty of any kind. To the maximum extent permitted by applicable law, RunOpti disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. RunOpti does not warrant that the Service will be uninterrupted, error-free, or that optimization or backtesting results will be accurate or suitable for any particular purpose.

9. Limitation of Liability

To the fullest extent permitted by applicable law, RunOpti shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages resulting from your use of the Service, including losses arising from trading decisions made based on optimization results. Our aggregate liability for any claims arising under these Terms shall not exceed the amount you paid for the Service in the three months immediately preceding the relevant claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by applicable law.

10. Dispute Resolution

We encourage you to contact us first at hello@runopti.com to resolve any dispute informally before initiating formal proceedings.

For consumers: Nothing in these Terms affects your statutory rights under applicable consumer protection laws. Consumers may refer disputes to the applicable consumer arbitration or dispute resolution body in their jurisdiction, or to consumer courts. EU consumers may also use the EU Online Dispute Resolution platform.

11. Governing Law

These Terms shall be governed by applicable law. Nothing in these Terms limits or excludes any rights you may have under the consumer protection laws of your country of residence.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or by prominent notice on the Service at least 30 days before changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

15. Force Majeure

RunOpti shall not be liable for any delay or failure to perform its obligations under these Terms resulting from events beyond its reasonable control, including acts of God, war, government action, network outages, third-party platform failures (including TradingView, payment processors, or hosting providers), or pandemics.

16. Entire Agreement

These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and RunOpti and supersede all prior communications, representations, or agreements relating to the Service.
